I. General Terms

This website, www.parameter.vc, together with all of its subdomains, subdirectories, and subpages, including the Client Portal, Jobs Platform, and Other Third-Party Sites (collectively, the “Website”), and all the content, including, without limitation, all text, photographs, renderings, images, video, audio, RSS feeds, podcasts, reports, guidebooks, memorandums, charts, logos, widgets, gadgets, applets, features, tools, software, code, data, and any other information, content, and materials thereon (collectively, the “Site Content”, and, together with the Website, the “Site”) are being provided as an information service by Aurora Management LLC and/or its affiliates (“Parameter Ventures” or “we” or “us”).

By accessing or using the Site, you accept the general terms in this I. General Terms section (the “General Terms”), the terms of use agreement in the II. Terms of Use section below (the “Terms”), and the privacy policy in the III. Privacy Policy section below (“Privacy Policy”).

You represent that: (i) you have read, understand, and agree with the General Terms; (ii) you have read, understand, and agree with the Terms; (iii) you have read, understand, and agree with the Privacy Policy; (iv) you are of legal age to form a binding contract with us; and (v) you have the authority to enter into the General Terms and Terms personally or on behalf of the legal entity for which you act as an agent, and to bind that legal entity to the General Terms and the Terms. The term “you” refers to you individually or to the legal entity for which you act as an agent. It is your responsibility to be aware of, and to comply with, the Terms and all applicable laws and regulations of any relevant jurisdiction, when using the Site and related services. You may not access or use this Site if you do not: (a) agree to be bound by the General Terms; (b) agree to be bound by the Terms; and (c) agree with the Privacy Policy.

Please note that the General Terms, Terms, and Privacy Policy are subject to change by Parameter Ventures in its sole discretion at any time. When changes are made, we will make a new copy of the General Terms, Terms and Privacy Policy available on the Site and update the “effective date” at the top of this page. Any modifications will be effective immediately upon posting unless we indicate otherwise, and if you access or use the Site after any modifications have been posted, your use will constitute your agreement to such modifications. We may terminate, change, restrict, suspend, or discontinue any aspect of the Site, or your access to it, at any time without notice or liability to you.

You agree not to: (a) take any action that imposes an unreasonable load on this Site’s infrastructure; (b) use any device, software, or routine to interfere or attempt to interfere with the proper working of this Site or any activity being conducted on this Site; (c) attempt to decipher, decompile, disassemble, or reverse engineer any of the software comprising or making up this Site; (d) delete or alter any material posted on this Site by Parameter Ventures or any other person or entity; (e) frame or link to any of the materials or information available on this Site; (f) impersonate any person or entity or misrepresent your affiliation with any other person or entity, whether actual or fictitious, including anyone from this Site or Parameter Ventures; (g) obtain or attempt to gain unauthorized access to other computer systems, materials, information, or any services available on or through this Site through any means, including through means not intentionally made publicly available or provided for through this Site; (h) engage in spidering, screen scraping, database scraping, harvesting of email addresses or other personal information, or any other automatic or unauthorized means of accessing, logging-in or registering on this Site, or obtaining lists of users or other information from or through this Site including, without limitation, any information residing on any server or database connected to this Site; (i) use this Site or the content of this Site, including but not limited to the text and images herein and their arrangement, to violate, plagiarize, or in any other manner infringe upon the rights of third parties, including without limitation, copyright, trademark, trade secret, confidentiality, contract, patent, rights of privacy, rights of publicity, or any other proprietary or legal right; (j) upload, post, publish, distribute, or otherwise transmit any information or material which constitutes or contains a virus, spyware, or other harmful component, or which contains any embedded links, advertising, chain letters, or pyramid schemes of any kind; (k) disclose any sensitive, proprietary or confidential information, about yourself or anyone else; (l) attempt (or encourage or support anyone else’s attempt) to circumvent, reverse-engineer, decrypt, or otherwise alter or interfere with this Site; (m) use any manual process to monitor or copy any of the material on the Site, or for any other purpose not expressly authorized in the Terms, without our prior written consent; or (n) use this Site or its services, in whole or in part, or submit any information to this Site, in violation of any applicable law, rule, or regulation.

International Use

Due to the global nature of the internet, this Site may be accessed by users in countries other than the U.S. We make no warranties that materials on this Site are appropriate or available for use in such locations. If it is illegal or prohibited in your country of origin to access or use this Site, then you should not do so. Those who choose to access this Site outside the United States do so on their own initiative and are responsible for compliance with all local laws and regulations.

Information Provided by You

Any information or materials that you consider trade secrets, confidential, or proprietary should not be submitted to us. Absent an express written agreement to the contrary, any information or materials that you provide to us will not be considered confidential or proprietary and will not be returned or safeguarded. We reserve the right to turn down investment opportunities in our sole discretion. We receive many similar plans and ideas, and your idea may already have been submitted to us or be under consideration by us. We are not limited or restricted in any way from pursuing opportunities with others.

No Solicitation or Investment Advice

The purpose of this Site (including the Client Portal) is limited to providing you with general information. We do not render or offer to render investment advice through this Site. Client Portal

The Site may connect to, link to, integrate with, embed, or contain a password-protected third-party website, or components thereof, accessible at www.fundpanel.io/Login and designed specifically to provide investors with certain information related to investments (the “Client Portal”). Your use of the Client Portal is governed by the Terms, provided however, that if the terms of use of the service providers that host or operate the Client Portal are more protective of us than the Terms, those third-party terms of use shall control. Such third-party terms of use can typically be found linked in the footer of the corresponding website. The information contained in the Client Portal is confidential and is subject to the confidentiality provisions contained in the relevant partnership agreements of private investments funds managed by Parameter Ventures (such funds, collectively, the “Parameter Ventures Funds” and, individually, a “Parameter Ventures Fund”). As a limited partner of one or more of the Parameter Ventures Funds, or a representative of such a limited partner, you are subject to those confidentiality provisions. By using the Client Portal, you agree that the information relating to Parameter Ventures Funds in which you are not a limited partner is subject to the same confidentiality restrictions that apply to you as a limited partner in any of the Parameter Ventures Funds. The information contained in the Client Portal may not be reproduced or redistributed in any manner unless expressly permitted by the partnership agreement of the applicable Parameter Ventures Fund or as otherwise agreed to in writing by us. The Jobs Platform is hosted or operated by service providers and is offered only for your convenience. Your use of the Jobs Platform is governed by the Terms, provided however, that if the terms of use of the service providers that host or operate the Jobs Platform are more protective of us than the Terms, those third-party terms of use shall control. Security

We endeavor to protect the security and integrity of the information we may collect from you via the Site, as described in our Privacy Policy. However, due to the inherent nature of the internet as an open global communications vehicle, we cannot guarantee that any information, during transmission through the internet, or while stored on our system or otherwise in our care, will be absolutely safe from intrusion by others, such as hackers. Dispute Resolution

PLEASE READ THE FOLLOWING SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH PARAMETER VENTURES, LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM US, AND WAIVES ANY CONSTITUTIONAL AND STATUTORY RIGHTS YOU MAY HAVE TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY.

You agree that you must initially provide us with a brief, written description of any potential dispute, claim, or controversy arising out of or relating to your use of the Site, the Terms, or the breach, termination, enforcement, interpretation or validity thereof. You agree to provide the written description referenced in the preceding sentence together with your contact information by writing to legal@parameter.vc in order to permit us to engage in good faith negotiations with you to resolve any such potential dispute, claim, or controversy.

You further agree that, to the maximum extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to: your use of the Site; the Terms; or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, that was not resolved within thirty (30) days of your written communication to legal@parameter.vc, as outlined above, shall be determined by arbitration in New York, New York before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Streamlined Arbitration Rules and Procedures. You further agree that you must send a letter requesting arbitration and describing your claim to our registered agent (Cogency Global Inc., 850 New Burton Road, Suite 201, Dover, Kent County, DE 19904) in order to initiate an arbitration and that the award rendered by the arbitrator shall be final, non-reviewable, non-appealable, and binding upon you and may be entered and enforced in any court of competent jurisdiction and any court where your or your assets are located (to whose jurisdiction you hereby consent for the purposes of enforcing the award).

This Dispute Resolution section of the Terms shall not preclude either you or us from: seeking provisional remedies in aid of arbitration from a court of competent jurisdiction; asserting claims in small claims court for qualifying claims; or seeking equitable relief in court for infringement or other misuse of intellectual property rights (such as trademarks, trade dress, domain names, trade secrets, copyrights, and patents) or for misuse of Parameter Ventures’ confidential information.

Exclusive Venue

To the extent the parties are permitted under this Agreement to initiate litigation in a court, both you and we agree that all disputes, claims, or controversies arising out of or relating to: your use of the Site; the Terms; or the breach, termination, enforcement, interpretation, or validity thereof, will be litigated exclusively in the state or federal courts located in New York, New York.

Miscellaneous

The Terms and your use of the Site shall be governed by the laws of the State of New York, without regard to any conflict of law principles or provisions. Any cause of action or claim you may have relating to the Site or arising out of the Terms must be commenced within one (1) year after the cause of action accrues, otherwise such cause of action or claim is permanently barred. Our failure to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found to be invalid, you and we nevertheless agree that the arbitrator or court adjudicating the dispute should endeavor to give effect to your and our intentions as reflected in that provision and that the other provisions of the Terms shall remain in full force and effect. The Terms are the final, complete, and exclusive agreement between you and us with respect to the subject matter hereof and supersedes and merges all prior discussions between the parties with respect to such subject matter.

III. Privacy Policy

Information We Collect

This Privacy Policy describes the types of information we may collect from you or that you may provide when you access the Site and sets forth our practices for collecting, using, maintaining, protecting, and disclosing that information.

We may collect Personal Data that you provide directly to us when you enter certain information on our Site. “Personal Data” means data that allows someone to identify or contact you, including, for example, your name, address, telephone number, or email address, as well as any other non-public information about you that is associated with or linked to any of the foregoing data, such as records and copies of your correspondence with us. This Privacy Policy does not apply to personal information we collect by other means (including offline) or from other sources.

Client Portal

Jobs Platform

We do not collect any of your information through the Jobs Platform, which is hosted or operated by service providers and offered only for your convenience. We make no representation regarding the completeness or adequacy of any third-party privacy policy.

Other Third-Party Sites

Our Site may contain links, banners, widgets or advertisements that lead to Other Third-Party Sites, including social media platforms, which may collect your Personal Data. We have no control over, do not review, and are not responsible for Other Third-Party Sites or their content, and this Privacy Policy does not govern the collection and use of your information on them. You have the right to request certain information about our collection and use of your Personal Data over the past 12 months, including the: (i) categories of Personal Data that we have collected about you; (ii) specific pieces of Personal Data that we have collected about you; (iii) categories of sources from which that Personal Data was collected; (iv) business or commercial purpose for collecting your Personal Data; (v) categories of third parties with whom we have shared your Personal Data; and (vi) categories of Personal Data shared with third parties for a business purpose over the past 12 months, if applicable.

You have the right to request that we delete the Personal Data that we have collected about you, subject to certain exceptions under the California Consumer Privacy Act (the “CCPA”); for example, we may need to retain your Personal Data to provide you with the Site or complete a transaction or other action you have requested. If your deletion request is subject to one of these exceptions, we may deny your deletion request.

To exercise the rights described above, you must send us a request that: (i) provides sufficient information to allow us to verify that you are either the person about whom we have collected Personal Data or are an agent authorized by that person; and (ii) describes your request in sufficient detail to allow us to understand, evaluate and respond to it. Each request that meets both of these criteria will be considered a “Valid Request”. We may not respond to requests that do not meet these criteria. We will only use Personal Data provided in a Valid Request to verify your identity and complete your request. You may submit a Valid Request by emailing legal@parameter.vc.

We will work to respond to your Valid Request within 45 days of receipt. We will not charge you a fee for making a Valid Request unless your Valid Request(s) are excessive, repetitive or manifestly unfounded. If we determine that your Valid Request warrants a fee, we will notify you of the fee and explain that decision before completing your request.

You may also authorize an “authorized agent” to exercise your rights on your behalf. To do this, you must provide your “authorized agent” with written permission to exercise your rights on your behalf, and we may request a copy of this written permission from your “authorized agent” when they make a request on your behalf.

We will not “sell” your Personal Data, as that term is defined in the CCPA, and have not done so over the last 12 months. We also do not sell the Personal Data of minors under 16 years of age.

Privacy Rights of Certain Nevada Residents

If you are a resident of Nevada, you have the right to opt-out of the sale of certain Personal Data to third parties who intend to license or sell that Personal Data. If you are a Nevada resident, you can exercise this right by contacting us at legal@parameter.vc with the subject line “Nevada Do Not Sell Request” and providing us with your name. Please note that we do not currently sell your Personal Data as sales are defined in Nevada Revised Statutes Chapter 603A.

Privacy Rights of Certain Other U.S. State Residents

If you are a resident of certain other U.S. states besides California and Nevada, including Colorado, Connecticut, Delaware, Indiana, Iowa, Montana, Tennessee, Texas, Oregon, Utah, and Virginia, you have additional specific rights regarding your personal information. Depending on where you live, you may have the following rights:

Right to Know/Access – You can request that we disclose the categories of personal information we collect, use, disclose, and/or sell or share, as well as request a copy of the specific personal information we hold about you.
Right to Delete – You can request that we delete personal information we have collected from you, subject to certain exceptions.
Right to Correct – You can request that we correct inaccuracies in the personal information we maintain about you.
Right to Opt-Out of Sale/Sharing/Targeted Advertising – You can direct us not to “sell” or “share” your personal information, or use it for targeted advertising, as those terms are defined under applicable state law.
Right Against Discrimination – We will not discriminate against you for exercising your privacy rights.
Right to Appeal – If we deny your request, you may appeal our decision by contacting legal@parameter.vc. We will respond to appeals within the timeframe required by applicable law.

Privacy Rights of Certain Non-U.S. Residents

The Site is hosted and operated in the United States by us and through our service providers, and if you do not reside in the U.S., laws in the U.S. may differ from the laws where you reside. If you are a resident of the European Union (“EU”), Liechtenstein, Norway, Iceland, the United Kingdom, Australia, Brazil, Canada, China, Japan, Singapore, South Korea, or South Africa, you may have additional rights under the regulatory framework applicable to you (collectively, “Non-U.S. Privacy Laws”), including the EU General Data Protection Regulation (the “GDPR”), the UK Data Protection Act of 2018 as retained in UK law by the European Union (Withdrawal) Act 2018, Australia’s Privacy Act 1988, Brazil’s Lei Geral de Proteção de Dados, Canada’s Personal Information Protection and Electronic Documents Act and applicable Canadian provincial privacy laws, China’s Personal Information Protection Law, Japan’s Act on the Protection of Personal Information, Singapore’s Personal Information Protection Act, South Korea’s Personal Information Protection Act, with respect to your Personal Data, as outlined below.

By using the Site, you acknowledge that any Personal Data about you, regardless of whether provided by you or obtained from a third party, is being provided to us in the U.S. and will be hosted on U.S. servers, and you authorize us to transfer, store and process your information to and in the U.S., and possibly other countries. You hereby consent to the transfer of your data to the U.S. pursuant to: (i) a data processing agreement incorporating standard data protection clauses promulgated by the non-U.S. regulatory institution with jurisdiction over your data; (ii) binding corporate rules for data protection that align with the applicable requirements of Non-U.S. Privacy Laws; or (iii) adherence to an industry- or technology-specific approved code of conduct approved by the non-U.S. regulatory institution with jurisdiction over your data.

For this section, we use the terms “personal data”, “personal information”, and “processing” as these terms may be defined in the GDPR or other Non-U.S. Privacy Laws, but “personal data” or “personal information” generally mean information that can be used to individually identify a person, and “processing” generally covers actions that can be performed in connection with data such as collection, use, storage and disclosure. We will be the controller of your “personal data” or “personal information” processed in connection with your use of the Site.

We will only process your “personal data” or “personal information" if we have a lawful basis for doing so. Lawful bases for “processing” include: (i) contractual necessity (we may process “personal data” as a matter of “contractual necessity”, meaning that we may need to process the data to perform services pursuant to our Terms, which enables us to provide you with the Site. When we process data due to contractual necessity, failure to provide such “personal data” or “personal information" will result in your inability to use some or all portions of the Site that require such data); (ii) legitimate interest (we process the following categories of “personal data” or “personal information" when we have a legitimate interest that is not outweighed by your privacy rights such as: device/IP data, web analytics, other identifying information you choose to provide, we may also de-identify or anonymize “personal data” or “personal information" to further our legitimate interests); and (iii) consent (in some cases, we process “personal data” or “personal information" based on the consent you expressly grant to us at the time we collect such data.
