Dispute Resolution

You agree that you must initially provide us with a brief, written description of any potential dispute, claim, or controversy arising out of or relating to your use of the Site, the Terms, or the breach, termination, enforcement, interpretation or validity thereof. You agree to provide the written description referenced in the preceding sentence together with your contact information by writing to legal@parameter.vc in order to permit us to engage in good faith negotiations with you to resolve any such potential dispute, claim, or controversy.

You further agree that, to the maximum extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to: your use of the Site; the Terms; or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, that was not resolved within thirty (30) days of your written communication to legal@parameter.vc, as outlined above, shall be determined by arbitration in New York, New York before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Streamlined Arbitration Rules and Procedures. You further agree that you must send a letter requesting arbitration and describing your claim to our registered agent (Cogency Global Inc., 850 New Burton Road, Suite 201, Dover, Kent County, DE 19904) in order to initiate an arbitration and that the award rendered by the arbitrator shall be final, non-reviewable, non-appealable, and binding upon you and may be entered and enforced in any court of competent jurisdiction and any court where your or your assets are located (to whose jurisdiction you hereby consent for the purposes of enforcing the award).

This Dispute Resolution section of the Terms shall not preclude either you or us from: seeking provisional remedies in aid of arbitration from a court of competent jurisdiction; asserting claims in small claims court for qualifying claims; or seeking equitable relief in court for infringement or other misuse of intellectual property rights (such as trademarks, trade dress, domain names, trade secrets, copyrights, and patents) or for misuse of Parameter Ventures’ confidential information.

Exclusive Venue

​

To the extent the parties are permitted under this Agreement to initiate litigation in a court, both you and we agree that all disputes, claims, or controversies arising out of or relating to: your use of the Site; the Terms; or the breach, termination, enforcement, interpretation, or validity thereof, will be litigated exclusively in the state or federal courts located in New York, New York.

Miscellaneous

​

The Terms and your use of the Site shall be governed by the laws of the State of New York, without regard to any conflict of law principles or provisions. Any cause of action or claim you may have relating to the Site or arising out of the Terms must be commenced within one (1) year after the cause of action accrues, otherwise such cause of action or claim is permanently barred. Our failure to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found to be invalid, you and we nevertheless agree that the arbitrator or court adjudicating the dispute should endeavor to give effect to your and our intentions as reflected in that provision and that the other provisions of the Terms shall remain in full force and effect. The Terms are the final, complete, and exclusive agreement between you and us with respect to the subject matter hereof and supersedes and merges all prior discussions between the parties with respect to such subject matter.

Our Site is not intended for children under the age of 16. We do not intentionally gather personal information from visitors who are under the age of 16. Privacy Rights of Certain California Residents

 

If you are a resident of California, you have the rights set forth in this section. If there are any conflicts between this section and any other provision of this Privacy Policy, the portion that is more protective of Personal Data shall control to the extent of such conflict. You have the right to request certain information about our collection and use of your Personal Data over the past 12 months, including the: (i) categories of Personal Data that we have collected about you; (ii) specific pieces of Personal Data that we have collected about you; (iii) categories of sources from which that Personal Data was collected; (iv) business or commercial purpose for collecting your Personal Data; (v) categories of third parties with whom we have shared your Personal Data; and (vi) categories of Personal Data shared with third parties for a business purpose over the past 12 months, if applicable.

 

You have the right to request that we delete the Personal Data that we have collected about you, subject to certain exceptions under the California Consumer Privacy Act (the “CCPA”); for example, we may need to retain your Personal Data to provide you with the Site or complete a transaction or other action you have requested. If your deletion request is subject to one of these exceptions, we may deny your deletion request.

 

To exercise the rights described above, you must send us a request that: (i) provides sufficient information to allow us to verify that you are either the person about whom we have collected Personal Data or are an agent authorized by that person; and (ii) describes your request in sufficient detail to allow us to understand, evaluate and respond to it. Each request that meets both of these criteria will be considered a “Valid Request”. We may not respond to requests that do not meet these criteria. We will only use Personal Data provided in a Valid Request to verify your identity and complete your request. You may submit a Valid Request by emailing legal@parameter.vc.

 

We will work to respond to your Valid Request within 45 days of receipt. We will not charge you a fee for making a Valid Request unless your Valid Request(s) are excessive, repetitive or manifestly unfounded. If we determine that your Valid Request warrants a fee, we will notify you of the fee and explain that decision before completing your request. 

 

You may also authorize an “authorized agent” to exercise your rights on your behalf. To do this, you must provide your “authorized agent” with written permission to exercise your rights on your behalf, and we may request a copy of this written permission from your “authorized agent” when they make a request on your behalf.

 

We will not “sell” your Personal Data, as that term is defined in the CCPA, and have not done so over the last 12 months. We also do not sell the Personal Data of minors under 16 years of age.

If you are a resident of Nevada, you have the right to opt-out of the sale of certain Personal Data to third parties who intend to license or sell that Personal Data. If you are a Nevada resident, you can exercise this right by contacting us at legal@parameter.vc with the subject line “Nevada Do Not Sell Request” and providing us with your name. Please note that we do not currently sell your Personal Data as sales are defined in Nevada Revised Statutes Chapter 603A.

 

Privacy Rights of Certain Other U.S. State Residents

If you are a resident of certain other U.S. states besides California and Nevada, including Colorado, Connecticut, Delaware, Indiana, Iowa, Montana, Tennessee, Texas, Oregon, Utah, and Virginia, you have additional specific rights regarding your personal information.   • Right to Opt-Out of Sale/Sharing/Targeted Advertising – You can direct us not to “sell” or “share” your personal information, or use it for targeted advertising, as those terms are defined under applicable state law.

  • Right Against Discrimination – We will not discriminate against you for exercising your privacy rights.

  • Right to Appeal – If we deny your request, you may appeal our decision by contacting legal@parameter.vc. We will respond to appeals within the timeframe required by applicable law.

Privacy Rights of Certain Non-U.S. Residents

The Site is hosted and operated in the United States by us and through our service providers, and if you do not reside in the U.S., laws in the U.S. may differ from the laws where you reside. By using the Site, you acknowledge that any Personal Data about you, regardless of whether provided by you or obtained from a third party, is being provided to us in the U.S. and will be hosted on U.S. servers, and you authorize us to transfer, store and process your information to and in the U.S., and possibly other countries. You hereby consent to the transfer of your data to the U.S. pursuant to: (i) a data processing agreement incorporating standard data protection clauses promulgated by the non-U.S. regulatory institution with jurisdiction over your data; (ii) binding corporate rules for data protection that align with the applicable requirements of Non-U.S. Privacy Laws; or (iii) adherence to an industry- or technology-specific approved code of conduct approved by the non-U.S. regulatory institution with jurisdiction over your data.
